TERMS OF USE &  LICENSE AGREEMENT

Welcome to SellPoint Store (“SellPoint Store,” “we,” “us,” or “our”). These Terms of Use & License Agreement (“Terms”) govern your access to and use of the SellPoint Store website, platform, services, and related features.

By creating an account, accessing the platform, listing an item, contacting another user, or otherwise using SellPoint Store, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the platform.

• Create and manage product listings;

• Search and browse products;

• Contact sellers and potential buyers;

• Communicate regarding products and transactions; and

• Promote or boost eligible listings through available platform features.

1. Once satisfied with the product, the buyer makes payment directly to the seller.

• That a seller will deliver a product;

• That a buyer will make payment;

• The quality, condition, authenticity, ownership, or legality of a product;

• The accuracy of a listing;

• That a product will meet a buyer's expectations;

• That a transaction will be completed; or

• That either party will comply with an agreement made between them.

• Verify the seller's identity and contact information;

• Confirm the product description and condition;

• Inspect the product before making payment;

• Confirm that the product received matches the listing;

• Keep records of relevant communications and transaction details; and

• Exercise caution when dealing with unfamiliar sellers.

• Provide accurate and truthful product information;

• Use accurate photographs and descriptions;

• Clearly state relevant product conditions;

• Have the legal right to sell the product;

• Communicate honestly with buyers;

• Deliver products as agreed with the buyer;

• Not misrepresent products or their availability; and

• Comply with all applicable laws and regulations.

• Violates these Terms;

• Contains misleading or fraudulent information;

• Involves prohibited goods or services;

• Violates applicable law;

• Infringes another person's rights;

• Creates a risk to users or the platform; or

• Is otherwise inappropriate for the platform.

• Stolen goods;

• Counterfeit goods;

• Fraudulent documents;

• Illegal drugs;

• Weapons or prohibited weapons;

• Products obtained through illegal activity;

• Products that infringe intellectual-property rights;

• Fraudulent financial services;

• Pyramid or unlawful investment schemes;

• Malware or malicious software;

• Sexually exploitative or illegal material; and

• Any other goods or services prohibited by applicable law or by SellPoint Store.

• Providing accurate account information;

• Keeping your login credentials confidential;

• Maintaining the security of your account;

• Not allowing unauthorized persons to use your account; and

• Not creating accounts for fraudulent or abusive purposes.

• Copy or reproduce the platform or substantial portions of it;

• Modify or create derivative works from the platform;

• Reverse engineer or attempt to obtain the source code;

• Scrape or systematically collect platform data;

• Sell, redistribute, or commercially exploit platform materials; or

• Use SellPoint Store's branding or intellectual property in a misleading manner.

• The platform will always be available;

• The platform will be error-free;

• Listings will always be accurate;

• Users will behave honestly;

• Products will be genuine, safe, or of satisfactory quality;

• Sellers will deliver products;

• Buyers will make payment; or

• Transactions between users will be completed successfully.

• Non-delivery of products;

• Failure to make payment;

• Fraud or misrepresentation by another user;

• Defective, counterfeit, stolen, or misrepresented products;

• Payments made outside the recommended transaction process;

• Disputes between buyers and sellers;

• Unauthorized conduct by users; or

• Loss of profits or other indirect or consequential losses.

• Your violation of these Terms;

• Your User Content;

• Your use of the platform;

• Your transactions with another user;

• Your violation of another person's rights; or

• Your violation of applicable laws.

• Violated these Terms;

• Engaged in fraudulent or abusive conduct;

• Posted prohibited content;

• Created a risk to other users or the platform;

• Used the platform unlawfully; or

• Misused the platform.

SellPoint Store is an online marketplace platform that allows individuals and businesses to advertise products and connect with potential buyers.

SellPoint Store provides a platform for users to:

SellPoint Store is not the seller or buyer of products listed by users.

Unless expressly stated otherwise, SellPoint Store does not own, possess, inspect, deliver, or guarantee products listed on the platform.

SellPoint Store does not operate an escrow service and does not hold, safeguard, or release money between buyers and sellers.

Buyers and sellers are responsible for arranging payment directly between themselves.

Our recommended transaction process is:

SellPoint Store is not responsible for payments voluntarily made by a buyer before receiving or inspecting a product.

If a buyer chooses to pay before receiving or inspecting a product, the buyer accepts the associated risk and agrees that SellPoint Store is not responsible for any resulting loss, fraud, non-delivery, or dispute.

You represent that you have the necessary rights to submit the content and that your content does not violate the rights of another person.

The SellPoint Store name, logo, website design, software, interface, graphics, text, trademarks, and other platform materials are owned by or licensed to SellPoint Store unless otherwise stated.

You may use the platform only for its intended purpose.

Subject to your compliance with these Terms, SellPoint Store grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purposes.

Where applicable, fees and payment conditions will be displayed before you purchase a paid service.

Unless otherwise stated, payment for a platform service relates only to the service provided by SellPoint Store and does not constitute payment for products advertised by other users.

Fees paid for platform services may be non-refundable except where required by applicable law or expressly stated in our refund policy.

Users are responsible for the content of their communications and agreements.

SellPoint Store does not guarantee that communications between users will result in a successful transaction.

Users should not share sensitive information unnecessarily and should exercise caution when communicating with people they do not know.

Users must not use SellPoint Store to commit, facilitate, or attempt to facilitate fraud, scams, deception, identity theft, or other unlawful activity.

We may investigate suspicious activity and may suspend or terminate accounts, remove listings, restrict access, or cooperate with appropriate authorities where legally permitted or required.

Any dispute concerning a product, delivery, payment, refund, product quality, ownership, or agreement between a buyer and seller is primarily a matter between those users.

SellPoint Store may, at its discretion, assist with platform-related issues or provide information available to us, but we are not a party to the transaction and are not required to resolve disputes between users.

Nothing in this section prevents a user from exercising any legal rights available under applicable law.

SellPoint Store provides the platform on an “as available” and “as is” basis to the extent permitted by applicable law.
